IRC Legal is a boutique transactional firm on Long Island. I'm Ian R. Cohen: 17+ years of practice, 500+ closed transactions, more than $3 billion in aggregate deal value.
I handle buy-side and sell-side M&A for founders, operators and investors, and I serve as outside General Counsel for companies that need senior judgment without carrying a full in-house team. Asset and stock purchase agreements, LOIs and term sheets, due diligence, disclosure schedules, commercial contracts, corporate governance, and the negotiation that decides how risk actually gets allocated.
I spent nearly a decade at Schulte Roth & Zabel and BakerHostetler. Then I went in-house as General Counsel of a technology company that took private equity money, came close to going public, and then went bankrupt. I guided it through every phase. That experience is why I understand what founders actually face. Not from 30 floors above Manhattan, from the trenches.
I also work at the intersection of corporate law and digital assets. IRC Legal holds bitcoin on its balance sheet, accepts bitcoin for legal fees, and I filed to appear as amicus counsel in New York Supreme Court on a matter concerning ownership of dormant bitcoin wallets.
Admitted in New York since 2010.

Our Story
Every founder I met in BigLaw was getting excellent legal work and terrible business advice. The memo was right. The advice was useless.
Then I went in-house as General Counsel, watched a company take private equity money, chase an IPO, and go bankrupt, and learned what founders actually need at the moment of decision.
IRC Legal is the firm I wanted to hire back then. BigLaw depth, in-house perspective.

What Sets Us Apart
BigLaw training without BigLaw rates
Schulte Roth & Zabel and BakerHostetler pedigree. Kirkland partners bill north of $2,400 an hour. Same training, different overhead.I've sat on your side of the table
General Counsel through a private equity raise, a run at an IPO, and a bankruptcy. I know what a term sheet actually costs you two years later. The lawyer you meet runs your deal
I stay on the file start to finish. When a matter needs more hands, I bring in counsel I know, and you're not paying anyone to learn on your deal.
