Financial model for a multi-unit franchise syndication entity structured to raise capital across sequential closings.

Key deliverables:

• Full syndication-level financial model projecting cash flows across a 10+ year hold period.
• Three-scenario analysis (conservative, expected, optimistic) with IRR, MOIC, and total. distribution outputs at both the syndication and individual investor level.
• Investor returns modeling at various investment levels.
• Distribution waterfall mechanics including distribution and liquidation.
• Capital raise modeling across sequential closings.
• Slide-ready outputs for investor pitch deck.
   

Iterations:

• Multiple rounds of structural revisions as the deal economics evolved, including transitioning from a traditional carry/waterfall to a simplified equity-based structure.
• Coordination with legal counsel to ensure the model aligned with the Operating Agreement terms.

• Model served as a key tool in closing committed investors for the first raise, providing the clarity and confidence needed to move forward.
• Directly informed the final deal structure accepted by legal counsel and investors.

Their project management was professional and responsive throughout the engagement. Deliverables were completed on time, and when the deal structure evolved (which happened multiple times as legal and financial decisions were being made in parallel) the team adapted quickly without losing momentum. 

When modifications required additional work, they were fair and transparent about any cost adjustments. They were easy to communicate with, receptive to feedback, and consistently produced high-quality output that required minimal back-and-forth to finalize.

What stood out most was the quality of their output and the level of professionalism behind it. 
This clearly stems from deep experience in M&A. They didn't just build a financial model, they understood the deal structure and the strategic decisions driving it. That expertise showed in the work product and made the collaboration significantly more efficient.

Are there any areas for improvement or something Adquiere could have done differently?

Nothing worth noting. The experience was strong from start to finish.

What evidence can you share that demonstrates the impact of the engagement?

Adquiere delivered clear information and valuation. The team also arranged four meetings with potential buyers, and two of those meetings led to offers.

Adquiere's project management was good; they delivered on time. We communicated via virtual meetings.

What did you find most impressive about them?

Adquiere had a very friendly and professional team that deleveried everything when promised.

By moving away from my hometown my business needed a new owner. Someone who would value the work done in the past 13 years and have similar creative goals for the business. Without knowladge about selling businesses Adquiere helped me with the right valuation, the process of selling, and any help needed after the purchase.

What were the measurable outcomes from the project that demonstrate progress or success?

Not only did they help me find the PERFECT match to buy my business, but they helped me with the valuation and legal process in a way that I could never do by myself. I'm sure the buyer was confident about buying my business because I had Adquiere by my side. A professional valuation and assistance through the process for both sides was the perfect way to close the deal.

Adquiere kept me calm about how professional they were about me, and my business. Adquiere represented my interests in the best way possible with my buyers and I'm sure they were KEY in their decision of purchasing my business. I couldn't have done it without them.
