- PROGRAM: The “Program” shall mean the creation, development and production of terpene wheel display boxes, interactive bingo experience, gift boxes, and in-store tables.
- SERVICES: The “Services” shall include:
- A) TERPENE WHEEL DESIGN AND PRODUCTION:
- 1) TERPENE WHEEL COUNTER DISPLAY - DESIGN AND PRODUCTION:
- a) Terpene box to include fifteen (15) terpene wheel jars for patrons to smell at the table display (total box quantity = 15)
- b) Ideation, production and sourcing of terpene wheel components including bottles/jars, terpene fragrances, and all included materials
- c) Agency to provide Company with design artwork for Terpene wheel
- d) Company to be provided with up to two (2) rounds of creative edits
- NOTES:
- 1) Terpene oil costs are incremental. Agency to provide Company with a list of 5 potential terpene oil providers. Company to select one for Agency to procure.

- GENERAL NOTES: The following includes general information for client reference.
- IV. FEES: The “Fee” shall be $TBD. Will vary based on services selected. As set forth in more detail below, the first invoice of 80% is due upon receipt and the second invoice of 20% is submitted at the start of the final month with NET 30 terms. Timing of Payments:
- Payment #1: $ (80%)
- a. Invoice Submitted: February 08, 2019 (or upon signature)
- b. Payment Due: February 15, 2019 (due upon receipt)
- Payment #2: $ (20%)
- a. Invoice Submitted: March 01, 2019
- b. Payment Due: March 31, 2019 *Fee will vary depending on final table selection, terpene oil and pick up/delivery choice.

- V. STATEMENT OF WORK TERM: Agency shall provide the Services to Company from February 15, 2019 – March 31, 2019 or until the above “Services” are complete or the Agreement is terminated, as provided for herein. (the “Term”).
- VI. MISCELLANEOUS:
- A. In the event Company requests services beyond the scope of the Services described hereinabove, Agency and Company shall work in good faith to determine appropriate changes in work product delivery and/or compensation.
- B. While this SOW governs the Parties’ rights and obligations as set forth herein and shall not be modified by any other agreement except for as provided herein, any other social media agreements between the Parties shall remain in full force and effect and shall not be affected by this separate SOW.
- C. This SOW shall not be binding on Company and/or Agency until accepted by Company and Agency and executed by duly authorized officer of each team.
This SOW (including any exhibits and schedules that are attached hereto and made a part hereof by reference) cannot be modified except by a written instrument signed by the Parties hereto, nor may it be modified, amended or rescinded, other than as provided by its terms, except by a writing a duly executed by an authorized officer of the Party to be charged.
This SOW may be executed in counterparts, all of which are taken together shall constitute one and the same instrument and shall become binding on the Parties at the time the last of them executes it below, which shall be the effective date hereof. - D. The parties acknowledge that the primary purpose of this SOW is for the Services described above. Once the Services have been provided and paid for, the parties agree that there is no right to audit amounts paid or to claim that additional compensation is owed.
