During the acquisition of the Expedia Cruises franchise in Courtice, Ontario, the Sales and Purchase Agreement (SPA) was a crucial component of the transaction. The process involved not only negotiating the transfer of ownership but also ensuring the continuity of business operations. Here is a detailed description of the scope of work involved, along with a summary of the key deliverables:

Scope of Work:

1. Initial Agreement and Due Diligence:
   • We began by establishing a basic agreement for the purchase, setting the initial terms and conditions.
   • Due diligence was conducted, covering financial records, franchise performance, and a thorough assessment of liabilities and assets, including independent contractors who form the backbone of the business.
   •  Vendor financing arrangements were assessed to confirm repayment timelines, and any existing financial obligations were identified.
2. Negotiation of Terms
   • As the process evolved, changes in the offer and expectations from the franchise company required revisions in terms and timelines.
   • Negotiations focused on safeguarding business continuity and protecting both parties' interests, ensuring all stakeholder needs were met.
3. Drafting the SPA:
   • A comprehensive SPA was drafted, covering all legal aspects such as the transfer of assets and a Force Majeure clause to address any unforeseen disruptions like pandemics.
   • Special attention was given to franchise-specific obligations, ensuring compliance with brand requirements and maintaining the integrity of the franchise’s operational model.
4. Execution and Completion:
   • Once all parties were in agreement, the SPA was executed, and the transition began.
   • The balance sheet was prepared based on the already active company’s model of receiving payments upon trip completion and paying travel counselors at the same time.
   • Necessary legal documentation and filings were completed to finalize the ownership transfer.

While this may ensure efficiency, it can sometimes feel intimidating, especially when navigating complex issues.

Working with Avi, however, was a completely different experience.
