Alex (Founder & CEO) and his team reviewed the business's finances, including verifying all the financial documents from the seller, such as profit and loss statements, bank statements, invoices, CRM systems, and tax returns. Due to the complexity of the business setup, this process turned into a full reconciliation work.

OGSCapital reconciled the revenue, expenses, and owner add-backs. Thanks to their work, we understood the variance between the seller's report and OGSCapital's report and made a decision to move forward accordingly.

Alex ensured we didn't miss any deadlines and managed the project within tight timelines, making sure the seller provided everything on time. Since we’re a SaaS company, the process of drafting a business plan is dramatically more challenging. Using their research and the information we gave them; they were able to devise a solid plan for us. The team also helped us create a nice pitch deck.

Alex was diligent and his team was involved. He and his team really took the time to fine-tune everything. It was a multi-faceted project, and they were able to help us nail down the complexities of the business plan. The work certainly speaks for itself.

Given the complexities, they did a bang-up job. What we’re doing has never been done before, but they were able to knock it out of the ballpark.

What did you find most impressive about them?

They did a very nonconventional business plan in PowerPoint format, which was cutting edge. They didn’t put any bland charts at all and made it interesting.

No, nothing comes to mind.

Do you have any advice for potential customers?

My advice is to do your homework, as with any business plan. They’re helping perform the research and analytics, but at the end of the day, you’re going to need to be involved and ask for what you want. No one’s a mind reader.

The project OGS was hired for, was for Business Plan development. This plan was to help us move our ideas and limited resources into an unlimited move towards growth with marketing strategies, financial forecasting, and foreseeing potential data points that may come to pass in the next 5 years.

What were your goals for this project?

The goals for this project was to develop a set of strategies, understand our market, and gauge financial projections to plan for the success of our business.

How did you select this vendor?

After contacting 7 different companies from looking at their website, we had a call for each one. After reaching out to each vendor, we read through the reviews and whether their reviews were trustworthy or not.

After going through other companies' reviews, we had additional conversations with three of the 7 companies and finalized to the final company after looking at their examples provided as well as the budget.

Describe the project in detail.

On April 16th, we began with receiving the proposal from OGS with what we will be working on! OGS worked on understanding our needs and development to be investor ready. We followed the proposal by receiving a round of questions in which we answered and submitted to Alex who was our Project lead.

We received a draft on April 30th which met the timeline that follows the proposal, being on time. Following the proposal, we submitted a series of edits that OGS followed by sending each draft with our edits 2-3 days after for each edit. OGS was prompt and efficient with getting the final edits to us and continually exceeding expectations.

We specifically worked with our project manager. Our project manager worked with his team to follow suit on all of the variable we needed for our project.

Can you share any outcomes from the project that demonstrate progress or success?

After finishing this project we were able to move on to the next phase of our business to reach out toward our investors and begin to focus on the product so that we can grow a userbase for our tech company.

How effective was the workflow between your team and theirs?

The workflow was seamless. Communication was fast and my team was able to work simultaneously with any questions to add toward the project.

What did you find most impressive about this company?

Very Efficient Service! A knowledgeable team! It was a quick delivery and was highly professional through every step of the way. We had a great experience with OGScapital. For our budget, this team went above and beyond our expectations. The work is evident that they know what they are doing. The research is thorough and gives us a great point of perspective for our company!

Are there any areas for improvement?

Through the three weeks that we worked with OGS capital, I would love to see a way to monitor what is being worked on. For example, if a market analysis was completed, then a confirmation would be sent regarding step 1 of the 14 steps per se would be shown as done.

This would give a sense of reassurance during the 14 days of work. It would be great to maybe incorporate slack or basecamp. I would love to see the structure of the team or what marketing resources would be used for our development ahead of time. These are just some ideas I can think of.

Our objectives were to validate revenue and earnings, assess the quality and sustainability of cash flow, identify financial and operational risks, evaluate working capital requirements, and provide an independent analysis to support acquisition and financing decisions.

OGS Capital helped validate the company's revenue and earnings profile through an independent Quality of Earnings review, identifying approximately $928,000 of normalized EBITDA for FY2025. The engagement also highlighted key risks related to financial reporting, cash handling, and accounting controls, enabling us to make a more informed acquisition decision and better prepare for lender underwriting and post-acquisition operational improvements.

OGS Capital was responsive, professional, and persistent throughout a diligence process that proved significantly more complex than originally anticipated. The engagement required numerous follow-up requests, reconciliations, and reviews of supplemental information as additional documentation became available. 
While the project timeline ultimately extended beyond the initial expectations due largely to the quality and completeness of the information provided during diligence, the team remained engaged, communicated regularly, and continued working through issues as they arose. They were responsive to questions, willing to discuss findings in detail, and committed to delivering a thorough work product despite the challenges encountered.

What impressed me most was the team's persistence and analytical rigor. The diligence process involved incomplete records, multiple revisions to financial information, and numerous reconciliation challenges. Rather than taking information at face value, the team continued asking thoughtful questions, validating assumptions, and working through discrepancies until they developed a well-supported understanding of the business. 
I was also impressed by their ability to remain objective and professional throughout a process that became significantly more complex than originally anticipated.

Are there any areas for improvement or something OGScapital could have done differently?

The primary area for improvement would be setting expectations around project timelines when information quality becomes a significant issue. As the engagement progressed and the complexity of the diligence became clearer, more frequent updates regarding revised timelines and expected delivery dates would have been helpful. 
That said, many of the challenges were driven by the quality and completeness of the information available during the diligence process rather than the team's effort or responsiveness.

Scope of Work and Key Deliverables We engaged OGS Capital to conduct a comprehensive financial due diligence (Quality of Earnings analysis) in connection with the potential acquisition of a U.S.-based golf cart dealership and related real estate entity. The scope of work included a detailed review of the company’s financial statements for the previous three fiscal years, analysis of revenue trends, cost structure, gross margins, and operating expenses, as well as an evaluation of the reliability and consistency of the accounting information provided by management. OGS Capital also analyzed key financial drivers of the business, including EBITDA performance, working capital dynamics, inventory practices, supplier concentration, payroll structure, and operational risks. As part of the engagement, the team reviewed the QuickBooks general ledger data and supporting financial documentation in order to validate the company’s reported results and identify potential normalization adjustments to EBITDA. The final deliverable was a comprehensive financial due diligence report that included: A detailed profit and loss analysis across multiple years EBITDA normalization and quality of earnings assessment Identification of financial and operational risks Analysis of revenue trends, margins, and cost structure Working capital review and operational observations Vendor concentration and supply chain considerations Recommendations for improving financial reporting and operational transparency In addition, the team prepared a revised version of the report suitable for presentation to financing institutions as part of the acquisition financing process. One of the most valuable outcomes was the preparation of a detailed Quality of Earnings analysis that allowed us to identify the company’s normalized EBITDA and better understand the drivers behind revenue fluctuations and margin performance over the last three years. This analysis was essential in helping us assess the sustainability of the business and refine our acquisition structure. The report also provided a structured evaluation of key operational factors such as supplier concentration, inventory management practices, working capital requirements, and financial reporting limitations within the existing accounting system. These insights helped us identify areas where operational improvements could significantly increase efficiency and transparency after acquisition. Overall, we had a very positive experience working with OGS Capital and the engagement was handled professionally. If there is one area that could be further strengthened, it would be the inclusion of slightly more granular operational data analysis where underlying systems allow it. In this case, the target company’s accounting and reporting systems had certain limitations, which restricted the availability of detailed information such as product-level sales segmentation and inventory aging. While this was primarily a limitation of the company’s internal systems rather than the diligence process itself, deeper data extraction or additional analytical visualizations could further enhance future reports when data availability permits. That said, the team was very responsive to feedback and quickly incorporated the adjustments we requested in the final version of the report, particularly for financing discussions. Overall, the collaboration was very smooth and we would gladly work with OGS Capital again on future projects.
